1. Acceptance of Terms

By engaging our services, you acknowledge that you have read, understood, and agree to these Terms in their entirety. These Terms apply to all transactions and services provided by Web Scorpions unless otherwise explicitly agreed upon in writing.

2. Payment and Invoicing

2.1. Invoice and Payment: Upon purchase of our products or services, Web Scorpions will issue a detailed digital invoice via email. Payment terms are as follows:

• A non-refundable deposit of 50% of the total invoiced fee is due immediately upon acceptance of the invoice.
• The remaining balance is payable before the commencement of any work, unless otherwise agreed upon in writing.

2.2. Additional Charges: Any additional services or revisions requested beyond the scope agreed upon in the initial invoice may incur extra charges. These charges will be communicated and must be agreed upon before commencement of the additional work.

3. Project Scope

3.1. Description of Services: The scope of services and associated costs will be detailed in the invoice provided by Web Scorpions. This includes the deliverables, timelines, and any specific terms relevant to the project.

3.2. Source Files: Upon full payment, Web Scorpions will provide the client with the necessary design files in formats suitable for client use, including but not limited to .PNG, .JPG, .PDF, .EPS, .AI, or .PSD formats.

4. Copyrights and Ownership

Upon receipt of full payment, the client retains full ownership rights to all artwork, images, or text created by Web Scorpions on behalf of the client. Web Scorpions does not claim ownership of any client-provided materials unless otherwise agreed upon in writing.

5. Refunds and Cancellations

5.1. Non-refundable Deposit: The initial 50% deposit paid upon acceptance of the invoice is non-refundable once work has commenced.

5.2. Cancellation Policy: Cancellations must be communicated in writing within 14 days of the initial order date. If work has commenced or completed beyond the initial stage, the client may be liable for payment of additional fees commensurate with the work completed.

6. Limitation of Liability

6.1. Consequential Damages: Web Scorpions will not be liable for any consequential loss, damages, or expenses arising from the use of our products or services, including but not limited to loss of profits, business interruption, or data loss.

7. General

7.1. Amendments: These Terms supersede any prior agreements or discussions and may be updated or amended by Web Scorpions at any time without prior notice. The most current version of these Terms will be posted on our website.

7.2. Governing Law: These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the United States of America.

7.3. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
